Growth Partner Terms & Conditions

These terms apply to businesses that apply for or participate in Cansoft's Growth Partner Program.

Important: These terms are a business template and should be reviewed by Cansoft's lawyer before public launch.

1. Program overview

The Cansoft Growth Partner Program is a performance-based marketing and lead generation program operated by Cansoft Technologies Corporation. Cansoft may create, manage, operate, or control marketing systems intended to generate prospective customer inquiries for approved businesses.

2. Application does not guarantee approval

Submitting an application does not guarantee acceptance. Cansoft may approve, decline, pause, or request additional information from any applicant at its sole discretion.

3. Commercial terms

Approved applicants may receive separate commercial terms, including service area, setup fee, monthly fee, revenue share percentage, payment method, attribution rules, reporting requirements, CRM access requirements, and any required personal guarantee.

4. Lead attribution

A lead may be considered Cansoft-attributed if it is generated, introduced, tracked, received, or recorded through any Cansoft-owned, Cansoft-controlled, or Cansoft-managed marketing asset, including websites, landing pages, forms, calls, ads, directories, content, campaigns, tracking numbers, CRM integrations, or related systems.

5. Ownership of leads and marketing assets

Unless otherwise agreed in writing, Cansoft retains ownership and control of all marketing assets, domains, websites, landing pages, tracking numbers, advertising accounts, lead records, form submissions, call records, campaign data, attribution data, reporting systems, and lead generation infrastructure created, owned, operated, or managed by Cansoft.

6. Revenue share and payment

Where a revenue share applies, the approved partner shall pay Cansoft the agreed percentage of collected net revenue from Cansoft-attributed leads. Net revenue shall not be redefined as profit. Net revenue generally means amounts actually collected from the customer, excluding applicable taxes, refunds, chargebacks, cancelled transactions, and approved credits.

7. Reporting and CRM access

Approved partners may be required to provide timely reporting and read-only access to CRM, quoting, booking, invoicing, payment, or accounting systems reasonably necessary to verify lead status, attribution, closed sales, collected revenue, refunds, cancellations, and commission calculations.

8. Response-time requirement

Approved partners are expected to respond to new leads promptly. Cansoft may suspend, reduce, reassign, or terminate lead delivery where a partner fails to respond to leads within the expected response time or fails to maintain reasonable customer follow-up standards.

9. Non-circumvention

The partner shall not conceal, redirect, reclassify, delay, transfer, manipulate, or otherwise structure transactions, customer relationships, lead records, or revenue reporting for the purpose of avoiding fees, revenue share, attribution, or payment obligations owed to Cansoft.

10. No marketing guarantee

Cansoft does not guarantee rankings, lead volume, conversion rates, revenue, profit, campaign performance, market results, or business growth. Marketing performance can be affected by competition, budget, pricing, response time, service quality, customer reviews, market demand, platform changes, and other factors outside Cansoft's control.

11. Confidentiality

The partner shall keep confidential Cansoft's pricing, methods, systems, campaign structures, lead generation strategies, attribution systems, software, documents, and non-public business information.

12. Personal guarantee

Cansoft may require one or more owners, directors, shareholders, or principals of the approved business to personally guarantee payment obligations before final approval or lead delivery.

13. Suspension and termination

Cansoft may suspend or terminate participation in the Growth Partner Program for non-payment, poor lead response, inaccurate reporting, refusal to provide verification records, reputational concerns, breach of terms, or any conduct that may harm Cansoft's marketing assets or business interests.

14. Limitation of liability

To the maximum extent permitted by law, Cansoft shall not be liable for indirect, incidental, special, punitive, consequential, lost-profit, lost-revenue, or lost-opportunity damages arising from the program.

15. Governing law

These terms shall be governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, unless a separate signed agreement states otherwise.

16. Changes to terms

Cansoft may update these terms from time to time. The version displayed on the Growth Partner Terms page at the time of application, together with any separate signed or accepted commercial terms, shall form part of the application record.
